Welcome to Needly ("Needly", "we", "our", or "us"). These Terms of Service ("Terms") govern your access to and use of our website, mobile applications, products, and services (collectively, the "Services").

By accessing or using Needly, you acknowledge that you have read, understood, and agree to be legally bound by these Terms. If you do not agree with these Terms, please do not use our Services.

1. Eligibility

You must be at least 18 years old or have permission from a parent or legal guardian to use our Services.

By placing an order, you confirm that the information you provide is accurate and complete.

2. Products & Availability

Needly sells physical products.

Product images, descriptions, specifications, colors, dimensions, packaging, and availability are provided for informational purposes. Actual products may vary slightly due to manufacturer updates, lighting conditions, display settings, or packaging changes.

Products are subject to availability. We reserve the right to discontinue or modify any product without prior notice.

3. Pricing

All prices displayed are in Bangladeshi Taka (BDT) unless otherwise stated.

Prices may change at any time without prior notice.

Applicable delivery charges, taxes, and fees (if any) will be shown during checkout.

Needly reserves the right to cancel any order resulting from pricing errors, technical issues, or incorrect product information.

4. Order Acceptance

Submitting an order does not guarantee acceptance.

Needly reserves the right to:

  • Accept or reject any order.

  • Limit product quantities.

  • Request identity verification.

  • Cancel suspected fraudulent or abusive orders.

  • Cancel orders affected by inventory shortages or pricing errors.

If payment has already been received for a cancelled order, the applicable amount will be refunded according to our Refund Policy.

5. Payment Methods

Needly may offer:

  • Cash on Delivery (COD)

  • Mobile Banking

  • Bank Transfer

  • Card Payments

  • Online Payment Gateways

  • Other supported payment methods

Availability of payment methods may vary depending on product type and delivery location.

6. Cash on Delivery (COD)

Selected products are eligible for Cash on Delivery.

Customers agree to:

  • Receive the parcel personally or through an authorized recipient.

  • Pay the full invoice amount at delivery.

  • Avoid placing fake or unnecessary orders.

Repeated refusal of COD orders may result in account suspension or restriction from future Cash on Delivery purchases.

7. Pre-Order Products

Certain products are sold as Pre-Order Items.

For Pre-Order products:

  • Estimated delivery times are approximate.

  • International shipping, customs clearance, supplier delays, holidays, or unforeseen circumstances may affect delivery schedules.

  • Delivery dates are not guaranteed.

  • Customers agree to wait for the estimated processing period.

Needly will make reasonable efforts to keep customers informed regarding significant delays.

8. Advance Delivery Charge

Some products require customers to pay the delivery charge in advance before shipment.

This advance delivery charge:

  • Confirms customer commitment.

  • Helps reduce fraudulent and abandoned orders.

  • May be non-refundable if the customer refuses delivery without a valid reason.

The applicable amount will be clearly displayed before order confirmation.

9. Order Cancellation

Customers may request cancellation before shipment.

However:

  • Orders that have already been shipped may not be cancelled.

  • Pre-Order products may not be cancellable after procurement has started.

  • Customized or special-order products may not be cancelled.

Needly reserves the right to deduct applicable processing or transaction costs where permitted.

10. Shipping & Delivery

Delivery times are estimates only.

Needly is not responsible for delays caused by:

  • Courier companies

  • Natural disasters

  • Political unrest

  • Customs clearance

  • Government restrictions

  • Force majeure events

  • Incorrect customer information

Customers are responsible for providing an accurate delivery address and phone number.

11. Product Inspection

Customers are encouraged to inspect the package before accepting delivery where permitted by the courier.

Any visible shipping damage should be reported immediately.

12. Returns & Refunds

Returns and refunds are governed by our separate Return & Refund Policy.

Certain items may not be eligible for return due to hygiene, safety, manufacturer restrictions, or product category.

13. Warranty

Warranty coverage, if applicable, is provided according to the manufacturer's warranty terms.

Unless expressly stated, Needly does not provide additional warranties beyond those required by applicable law.

14. User Responsibilities

Users agree not to:

  • Provide false information.

  • Place fraudulent orders.

  • Abuse promotional offers.

  • Attempt unauthorized access.

  • Interfere with website functionality.

  • Use automated bots without permission.

  • Violate any applicable law.

15. Intellectual Property

All content including:

  • Logos

  • Graphics

  • Images

  • Product listings

  • Website design

  • Software

  • Text

  • Branding

is owned by Needly or its licensors and protected by applicable intellectual property laws.

Unauthorized copying, reproduction, or commercial use is prohibited.

16. Limitation of Liability

To the maximum extent permitted by applicable law, Needly shall not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages arising from the use of our Services.

Nothing in these Terms excludes liability that cannot legally be excluded under applicable law.

17. Indemnification

Users agree to indemnify and hold harmless Needly, its owners, employees, affiliates, and partners from claims, liabilities, damages, costs, and legal expenses arising from misuse of the Services or violation of these Terms.

18. Privacy

Use of our Services is also governed by our Privacy Policy.

19. Force Majeure

Needly shall not be responsible for delays or failure to perform obligations caused by events beyond our reasonable control, including natural disasters, war, strikes, internet outages, pandemics, governmental actions, or transportation disruptions.

20. Changes to These Terms

Needly may modify these Terms at any time.

Updated versions become effective immediately upon publication unless otherwise stated.

Continued use of the Services constitutes acceptance of the updated Terms.

21. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the People's Republic of Bangladesh.

Any dispute shall be subject to the exclusive jurisdiction of the competent courts of Bangladesh, except where applicable consumer protection laws provide otherwise.
